Binding Agreement

These Terms of Service ("Agreement") constitute a legally binding contract between you ("Client," "you," or "your") and Company Legal Name, operating as RevoLedger ("Company," "we," "us," or "our"). By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

2. Acceptance & Eligibility

Requirements

  • Business Entity: You represent a business entity or are an individual professional authorized to engage our services
  • Authority: You have the legal authority to bind your organization to this Agreement
  • Accurate Information: All information provided during engagement is accurate and complete
  • Compliance: You will use our services in compliance with all applicable laws and regulations

3. Client Responsibilities

Your Obligations

  • Access & Credentials: Provide necessary access to systems, software, and data required for service delivery
  • Timely Communication: Respond to requests for information and feedback in a timely manner
  • Testing & Validation: Review and test automations before deployment to production environments
  • Backup Responsibility: Maintain appropriate backups of your data before implementing automations
  • Software Licenses: Ensure you have proper licenses for all third-party software involved in integrations
  • Compliance: Ensure your use of automation complies with your industry regulations and client agreements

4. Payment Terms

Billing

  • Pricing: All fees are clearly disclosed during the proposal phase and documented in service agreements
  • Payment Schedule: Invoices are due according to the terms specified in your service agreement
  • Currency: All fees are in USD unless explicitly stated otherwise
  • Taxes: You are responsible for any applicable taxes in your jurisdiction

Late Payments

Invoices not paid within the agreed timeframe may result in suspension of services. We will provide reasonable notice before any service suspension.

5. Cancellation & Refunds

Detailed terms including cancellation notice periods, refund conditions, and service scope will be outlined in the service agreement signed prior to project commencement.

6. Confidentiality & Data Protection

Our Commitments

  • Data Confidentiality: All client data accessed during service delivery is treated as strictly confidential
  • No AI Training: Your data is never used for training AI models or shared with third parties
  • Secure Handling: We implement industry-standard security measures to protect your information

7. Intellectual Property

Ownership

  • Client Data: You retain full ownership of your data and business information
  • Custom Deliverables: Ownership of specific deliverables will be defined in your service agreement
  • Company IP: Pre-existing tools, methodologies, and frameworks remain the property of the Company
  • Branding: The RevoLedger name, logos, and brand elements are registered trademarks of the Company

8. Limitations & Disclaimers

Important Disclaimers

  • Not Professional Advice: Our automation services do not constitute accounting, legal, tax, or financial advice
  • Results May Vary: Time savings and efficiency improvements depend on your specific workflows and implementation
  • Third-Party Dependencies: Automations depend on third-party software and APIs which may change
  • Human Review Required: Automation handles repetitive tasks; professional judgment remains your responsibility

Limitation of Liability

To the maximum extent permitted by law, the Company's liability for any claims arising from our services shall be limited to the amount you paid for the specific service that gave rise to the claim.

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Termination

Client-Initiated Termination

  • Notice: You may terminate services with appropriate notice as specified in your service agreement
  • Outstanding Balances: All unpaid fees become due upon termination
  • Data Access: You retain full ownership of your data. Upon request, we will provide your data in standard formats within 30 days of termination

Company-Initiated Termination

We reserve the right to terminate service relationships in cases of:

  • Non-Payment: Failure to meet payment obligations after reasonable notice
  • Terms Violation: Material breach of these Terms of Service
  • Legal Issues: Discovery of illegal activities or fraudulent information
  • Security Concerns: Actions that compromise security or system integrity

10. Dispute Resolution

Resolution Process

In the spirit of partnership, we commit to resolving disputes through:

  • Direct Communication: Open dialogue to understand and address concerns
  • Mediation: Neutral third-party mediation if direct resolution fails
  • Arbitration: Binding arbitration as a final resort, following established procedures
  • Legal Action: Court proceedings only after exhausting alternative methods

11. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters, pandemics, or acts of God
  • Government regulations or restrictions
  • Internet or telecommunications failures
  • Third-party service outages affecting integrated systems

12. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon email notification to registered clients.

Continued use of our services after notification constitutes acceptance of modified terms.

13. Severability & Entire Agreement

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force. This Agreement, together with our Privacy Policy and any service-specific agreements, constitutes the entire agreement between us regarding the services provided.
